3. Service Agreement and Pricing

Service packages, pricing, and deliverables will be detailed in a separate Service Agreement. By engaging our services, you agree to:

• Pay all fees as specified in your Service Agreement
• Provide timely payment according to agreed terms
• Provide necessary access, materials, and cooperation for service delivery
• Maintain active professional licenses and credentials

4. Client Responsibilities

As a client, you are responsible for:

• Ensuring all content and materials provided to us are accurate and compliant with applicable laws
• Maintaining your professional licenses and credentials
• Complying with all applicable healthcare regulations and advertising standards
• Obtaining necessary consents for patient testimonials and case studies
• Responding to patient inquiries generated through our services

5. Intellectual Property

All marketing materials, content, strategies, and tools created by MedGrowMedia remain our intellectual property unless otherwise specified in writing. Upon full payment, you receive a license to use materials created specifically for your practice.

6. Results and Performance

While we employ proven strategies and best practices, we cannot guarantee specific results, rankings, or revenue outcomes. Marketing results depend on multiple factors, many of which are outside our control, including market conditions, competition, and client responsiveness.

7. Compliance and Legal Requirements

You agree that:

• All services will be used in compliance with HIPAA, TCPA, CAN-SPAM, and other applicable regulations
• You will not use our services for any illegal or unauthorized purpose
• You are responsible for maintaining appropriate Business Associate Agreements (BAAs) where required
• All patient communications and data handling will comply with healthcare privacy laws

8. Termination

Either party may terminate services with 30 days written notice unless otherwise specified in your Service Agreement. We reserve the right to suspend or terminate services immediately if you violate these terms or applicable laws.

9. Limitation of Liability

To the maximum extent permitted by law, MedGrowMedia shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our services.

10. Indemnification

You agree to indemnify and hold harmless MedGrowMedia from any claims, damages, or expenses arising from your use of our services, violation of these terms, or violation of any rights of third parties.

11. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, business strategies, and patient data shared during the course of our business relationship.

12. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify active clients of significant changes. Continued use of our services after changes constitutes acceptance of new terms.
